A. TYPES OF INFORMATION WE COLLECT AND HOW WE COLLECT IT

Personal information is information that directly or indirectly identifies or can be used to identify you as an individual. The following are the categories of personal information we may collect about you and how we collect it: 

  

1. Information You Provide. We collect information that you provide when you visit or use our Services. For example: 

  • Contact Information. We may collect your contact information such as your first and last name, phone number, country and/or city. company title and position and business e-mail address when you request support or a demo, engage with content on our site (e.g., fill out a form), apply for a job, or scan your name badge at an event. 

  • Customer Information. In addition to your contact information, we may collect your company name, job title, payment information, and order and purchase information when you subscribe to or purchase our services. 

  • Professional Background and Employment Information. If you choose to apply for a job or send us your resume or other career information through the Services, we may collect your contact information, employment history, education information, professional memberships and references and any other information you choose to provide. 

  

You can choose not to provide your personal information to us. However, some information about you is generally required to respond to your requests or communications; fulfill, track and bill your orders; or provide our products and services. Note also that the Services do not allow and are not intended to collect or process sensitive or special categories of personal information such as health / medical or financial information, race or ethnic origin, political opinions, religious or philosophical beliefs or similar; please do not upload or otherwise disclose such information to us. 

  

​2. Information Collected Automatically. Certain information is also collected automatically on the Site by use of various software tools. The information collected includes which pages of the Site are accessed; what information is downloaded; what type of device, browser or operating system is used to access the Site; and which Internet service provider is used. We, or third parties, may track information about your online activities over time and across different websites in order to better customize advertisements to you about our products and services but we do not permit our third-party service providers to use this information for the service provider’s or a third party’s own direct marketing purposes. We may also collect the Internet Protocol (“IP”) address, unique device ID, and/or general location of your computer or mobile device. We use this information, which typically remains in aggregate form and does not usually by itself identify individuals, to improve the Site and the services we offer. If a combination of information we collect does identify you as individual, we will treat the combined information as personal information. The following are examples of how we automatically collect information through the Site: 

  • Cookies and Other Tracking Technologies. Cookies are small data files sent to your browser when you visit the Site.  The site uses cookies and other tracking technologies to distinguish you from others users of the Site. These technologies may collect information such as your IP address, browser information and aggregate information that tracks your interaction with the Site, such as which pages you click. We may use this information for security purposes, to enhance and personalize your experience with the Site and to present you with advertisements or offers that are most likely to appeal to you. We may also use cookies to track your responses to our advertisements on other websites. You can refuse to accept cookies by adjusting your browser settings as described further below in Section D. However, if you do not accept certain cookies, you may be unable to fully access all functionality of the Site. 

  • Analytics Tools. The Site also uses third-party analytics tools, including Google Analytics. By using cookies, Google Analytics collects and stores data such as time of visit, pages visited, time spent on each page of the Site, the IP address and type of operating system used in the devices used to access the Site. By using a browser plugin available at http://www.google.com/ads/preferences/plugin/ provided by Google, you can opt out of Google Analytics. 

  

3. Information from Other Sources. Personal information or other data we collect through the Site may be combined with information you provide to us through the Services. Where permitted by applicable law, other information collected from your interaction with us on social media platforms or other third-party sources may be added to the data you provide through the Services. For example, if you choose to interact with us or the Services through third-party platforms or sites such as social media platforms, the third party may send us your information, including your profile information used on the social media site. We may also obtain information about you from other third-party sources such as conference planners when you choose to provide your contact information which is shared with other conference attendees or vendors. This information may include your name, business contact information such as work email or telephone number, job title and company name. 

  

B. ​HOW WE USE YOUR INFORMATION

We use your personal information for our legitimate business purposes, when consistent with your rights and preferences, or as otherwise identified at the point of data collection, including to: 

  • Provide our services and fulfill or respond to your questions or requests. We may use your contact information or customer information described above in order to respond to your requests for information on our products and services, to provide our products or services to you, to add you to our mailing list and send you information we think may be of interest to you, to send you updates or reminders about your use of the App, or to otherwise address your questions or requests. We process this information in order to comply with our contractual obligations to our customers and end users and for our legitimate business purposes in providing you with information about our products or services or other information you request. 

  • Enable your use of the Services and to provide on-going customer and technical support related to your use of the Services. We may use your contact, account and customer information to identify and authenticate you when you access or use the Services. We process this information in order to comply with our contractual obligations to our customers and end users and in other instances, it is in our legitimate business interest to identify and authenticate you to help secure our Services. â€‹

  • Enhance our products, services and user experience with the Services. We may use information automatically collected and certain other personal information to enhance our products and services and to customize your experience when interacting with the Services. We have a legitimate business interest to improve our Services and other products as part of our on-going business operations. 

  • Evaluate your job application and candidacy for employment. We may use your contact information, professional background and employment information when you apply for a job with us or otherwise submit such information for employment consideration. We process this information based on our legitimate business interests in evaluating prospective employees and performing our human resources activities with regard to job applicants and employees. 

  • Ensure the technical operation and security of the Services, to comply with applicable laws, and to protect the health or safety of you or others, to secure our legal rights and/or our property, to identify fraud, in connection with legal claims or enforcement of contracts, and for compliance, regulatory and investigative purposes. We have a legitimate business interest to use or disclose your personal information in order to protect these rights and fulfill our legal obligations.

We may also request and process your information pursuant to your consent in circumstances where legal justification over and above legitimate interests and the processing purposes set forth above is required by applicable law. If you provided consent for us to process your personal information, you may withdraw consent at any time. Please note that your withdrawal of consent will not impact the lawfulness of the processing we carried out in reliance on the consent, prior to your withdrawal.

C. WHEN WE SHARE YOUR INFORMATION

We may disclose personal information you provide or that we collect through the Services with the following categories of third parties or with your permission: 

  • Customers. If you use the Services as a registered end user, affiliated with an organization that has procured your access to the Services, we will share personal information with your organization as further described in the App Privacy Statement available here

  • Service Providers. We engage with select service providers to help us operate the Services and our business, including accounting and legal services, marketing and advertising services. These service providers may require access to your information in order to provide services to us and are contractually required to protect your information and are prohibited from using such information for purposes other than providing services to us. 

  • Referring Platforms. If you are directed to the Services from another website or platform, we may collect information about you from the referring platform and may share information back to that referring platform or website. For example, if you click an ad from a partner marketplace or social media platform that refers you to the Services, we may disclose information that is automatically collected about your browser or device, in order to track the effectiveness of our advertising. 

  • Business Transfers. In the event that all or part of Moovila Inc. is merged, acquired, or reorganized, including transfers made as part of insolvency or bankruptcy proceedings, we reserve the right to sell, rent, disclose or transfer your personal information to a successor entity, in accordance with this Privacy Statement.  

  • Other Third Parties. We may share your information with other third parties to protect your safety or the safety of others, to protect our legal interests, or for other purposes described above in Section B. 

  

D. YOUR PRIVACY CHOICES

You have certain choices with regard to the personal information we collect, create, transmit or maintain, including: 

  1. Cookies and Online Advertising. You can block certain cookies or disable cookies on most web browsers by adjusting your settings through the toolbar on your browser. If you block all cookies, you may not be able to access certain features on the Site. 

  2. Universal Opt-Out Mechanism. Where available, you may choose to enable an online tool that automatically communicates your universal opt-out preferences, such as Global Privacy Control (“GPC”). You may need to use a specific browser or an extension that supports these tools and universal signals.

  3. Communication Preferences. You may opt out of receiving marketing or advertising emails from us by using the “unsubscribe” link or mechanism noted in the email message you receive from us. You may also opt out of such communications by contacting us using the contact details at the bottom of this Privacy Statement. Please note that even if you opt out of marketing communications, we may still send you non-marketing communications related to your account or transactions with us.

Our business and our Services are located and operated in the United States and we will process your personal information in the United States and any other jurisdictions where we, our servers or our service providers are located. If you are located outside the United States, we may transfer your personal information to the United States where necessary for our performance of a contract with you (our Terms & Conditions) and as necessary to provide the Services to you. When we transfer data from outside the United States, we implement appropriate and suitable safeguards intended to protect your information as required by applicable data protection laws and in accordance with this Privacy Statement.

F. LINKS TO THIRD-PARTY SITES

The Services may include links to other websites or third-party content that we do not own or operate. For example, we may provide links from the Services to social media sites such as Facebook, LinkedIn, Twitter or YouTube. This Privacy Statement does not apply to services or content offered by other companies or individuals and we do not control and are not responsible for the privacy practices of those third-party platforms or content of such third-party websites. If you click a link from the Services that takes you to a third-party website, please note that you will be subject to the third party’s privacy policies. We recommend that you review the third parties’ privacy policies before visiting such websites. 

  

G. HOW WE SECURE YOUR INFORMATION

​We implement commercially reasonable physical, administrative and technical security measures designed to help safeguard personal information from loss and unauthorized access, use, disclosure or transfer. Notwithstanding our safeguards, we cannot guarantee the security of any information transmitted to the Site. 

  

​H. DATA RETENTION

We keep your personal information for as long as it is needed to fulfill the purposes for which it was collected. The precise period will depend on the reason why it was collected. Those periods are also based on the requirements of applicable data protection laws, applicable legal and regulatory requirements and periods relating to the commencement of legal actions. 

 

​For example, if your personal information is subject to the EU GDPR or UK GDPR, the criteria used to determine the period for which personal data about you will be retained varies depending on the legal basis under which we process the personal data: 

 

  • Contract. Where we are processing personal data is based on contract, we generally will retain your personal data for the duration of the contract plus some additional limited period of time that is necessary to comply with law or that represents the statute of limitations for legal claims that could arise from our contractual relationship. 

  • Legitimate Interests. Where we are processing personal data based on our legitimate interests, we generally will retain such information for a reasonable period of time based on the particular interest, taking into account your fundamental interests and your rights and freedoms. 

  • Consent. Where we are processing personal data based on your consent, we generally will retain your personal data until you withdraw your consent, or otherwise for the period of time necessary to fulfil the underlying agreement with you or provide you with the applicable service for which we process that personal data. 

  • Legal Obligation. Where we are processing personal data based on a legal obligation, we generally will retain your personal data for the period of time necessary to fulfil the legal obligation. 

  • Legal Claim. We may need to apply a “legal hold” that retains information beyond our typical retention period where we face threat of legal claim or intent to establish a claim.  In that case, we will retain the information until the hold is removed, which typically means the claim or threat of claim has been resolved. 

 

When an individual discontinues the use of our services, we will retain their personal data for as long as necessary to comply with our legal obligations, to resolve disputes and defend claims, as well as, for any additional purpose based on the choices they have made, such as to receive marketing communications. In particular, we will retain personal data supplied when joining our services, including complaints, claims and any other personal data supplied during the duration of an individual’s contract with us for the services until the statutory limitation periods have expired, when this is necessary for the establishment, exercise or defense of legal claims. 

 

In all cases, in addition to the purposes and legal bases, we consider the amount, nature and sensitivity of the personal data, as well as the potential risk of harm from unauthorized use or disclosure of your personal data. 

 

I. CHILDREN

​​We do not knowingly collect information from persons under the age of 18. To use the Site, you must be the age of legal majority in your place of residence and at least 18 years old. We will use commercially reasonable efforts to delete information associated with a minor as soon as practicable if we learn that a minor has submitted information to us.

J. NOTICE TO CALIFORNIA RESIDENTS​

California law permits California residents who provide us with personal information to request certain information regarding our disclosure of such information to third parties for the third parties’ direct marketing purposes. We do not, at this time, disclose such information to third parties for their own direct marketing purposes. If we change this policy, we will update this provision and provide instructions on how you may make a request for details. If any other state enacts a similar law as the California law, then this provision will also apply to such state. 

  

K. YOUR GDPR RIGHTS 

 

If your personal information is protected by the GDPR or UK GDPR (i.e., you are located in the European Economic Area, UK or Switzerland), then you have certain data protection rights described below with respect to the personal information collected and used by us. These rights may only apply in certain circumstances and are subject to certain exemptions. Who is Responsible for the Personal Information That We Collect?

Moovila Inc. is the data controller for the purpose of data protection law in respect of your personal information collected and used in connection with our provision of Services to you.  As the data controller, Moovila Inc. determines the purposes for which your personal information is used and the methods by which it is processed. 

 

When it comes to our customer’s End Users’ personal information, Moovila Inc. operates as a data processor. We process this information to deliver services to your organization and for our legitimate business purposes. In this capacity, your organization serves as the data controller. It dictates the purposes and means of processing End User personal information, as outlined in the contractual agreement between your organization and Moovila Inc. The use of End User data is governed by your organization’s privacy policies.  

 

L. CHANGES TO THIS PRIVACY STATEMENT

We reserve the right to make changes or updates to this Privacy Statement from time to time, effective from the date indicated as the last updated date of the Privacy Statement.
